KRYA Confirms Deportation of President Commissioner Does Not Affect Operations. Replacement Process for the New President Commissioner Is Underway.

PT Bangun Karya Perkasa Jaya Tbk ("KRYA" or the "Company") provides an official clarification regarding the news regarding the deportation of President Commissioner, Mr. An Shaohong. The Company confirms that it is unaware of any legal proceedings against President Commissioner Mr. An Shaohong. Furthermore, the Company confirms that it is not involved in any of the cases or litigation currently being faced by Mr. An Shaohong, either in Indonesia or the People's Republic of China (PRC). The Company also confirms that the events and litigation against Mr. An Shaohong have not negatively impacted the Company's operations, performance, or business agenda. The Company continues to conduct its business activities and operations as normal.

All ongoing business activities and the Company's obligations to customers and shareholders continue uninterrupted. The operational management team remains in full control and is capable of carrying out all Company activities as normal.

In line with good corporate governance, KRYA is initiating the process of replacing the President Commissioner, which will be conducted through corporate mechanisms in accordance with applicable laws and regulations. The Company will announce the replacement once the process is complete. "We ensure that the Company's operational conditions remain stable and unaffected. We are currently carrying out the replacement of the President Commissioner in accordance with applicable laws and regulations to ensure the continuity of our oversight function," said William Teng, President Director of KRYA. PT Bangun Karya Perkasa Jaya Tbk (KRYA) officially announced changes to the composition of the Company's Audit Committee. Through Board of Commissioners Decree No. 004/KOM/BKPJ/X/2025 dated October 29, 2025, the Board of Commissioners decided to dismiss Mr. Budi Herlambang from his position as Chairman of the Audit Committee and appointed Mr. William Ong as the new Chairman of the Audit Committee, effective as of the same date.

This step was taken to comply with Financial Services Authority Regulation (POJK) No. 55/POJK.04/2015 concerning the Establishment and Guidelines for the Implementation of the Audit Committee, as well as the information disclosure requirements stipulated in Bapepam-LK Regulation No. X.K.1 and Indonesia Stock Exchange Regulation No. I-E concerning the obligation to disclose information to the public.

PT Bangun Karya Perkasa Jaya Tbk Sells Warehouse Assets to Strengthen Working Capital

Surabaya, September 1, 2025 – PT Bangun Karya Perkasa Jaya Tbk (the “Company”) today announced that it has completed a sale transaction for fixed assets in the form of land and warehouse buildings located in the Margomulyo Jaya Warehouse Complex Block H-21, Surabaya. The 388 m² warehouse was sold to a third party for a transaction value of IDR 4.39 billion. The Company noted that this transaction provides a potential sales gain of around IDR 400 million which will be included as other income in the third quarter 2025 financial report. The proceeds from the sale will be used to strengthen the Company’s working capital. The Director of PT Bangun Karya Perkasa Jaya Tbk, Brigitta Notoatmodjo, stated that this transaction is not an affiliated transaction or a material transaction as regulated in POJK No. 42/POJK.04/2020 and POJK No. 17/POJK.04/2020. This step is expected to increase asset efficiency while strengthening the Company’s financial position going forward.
